Agreement to Terms
These Terms of Service ("Terms") govern your use of the Fordel Studios website at fordelstudios.com and any services provided by Fordel Studios Development Private Limited ("we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
Services
Fordel Studios Development Private Limited provides software development consulting services, including but not limited to AI-native application development, web and mobile application development, cloud infrastructure setup, and product strategy consulting. The specific scope, timeline, deliverables, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or service agreement between Fordel Studios and the client.
Intellectual Property
Unless otherwise specified in a written agreement, all intellectual property rights in custom software developed by Fordel Studios Development Private Limited for a client shall transfer to the client upon full payment. Fordel Studios Development Private Limited retains the right to reuse general methodologies, frameworks, and non-proprietary techniques developed during the course of client work. Our website content, branding, logos, and marketing materials remain the intellectual property of Fordel Studios Development Private Limited.
Client Responsibilities
Clients are responsible for providing timely access to necessary information, systems, and stakeholders as reasonably required for project execution. Clients are responsible for reviewing deliverables within agreed-upon timelines and providing clear, actionable feedback. Delays caused by client non-responsiveness may impact project timelines and may result in additional costs.
Payment Terms
Payment terms are defined in individual service agreements or Statements of Work. Unless otherwise agreed, invoices are due within 15 days of issuance. Late payments may be subject to interest at a rate of 1.5% per month on the outstanding balance. We reserve the right to pause work on a project if payments are more than 30 days overdue.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of an engagement. This includes technical specifications, business strategies, customer data, and any information marked as confidential. Confidentiality obligations survive the termination of any service agreement for a period of two years.
Limitation of Liability
To the maximum extent permitted by law, Fordel Studios Development Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the cause of action or the theory of liability. Our total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the client for the specific engagement giving rise to the claim.
Warranty Disclaimer
Our services are provided on an "as is" basis. While we strive for quality and will correct defects identified within an agreed warranty period (typically 30 days after delivery), we make no warranties, express or implied, regarding the fitness for a particular purpose, merchantability, or non-infringement of any deliverables.
Termination
Either party may terminate a service engagement with 14 days written notice. Upon termination, the client shall pay for all work completed up to the termination date. Fordel Studios Development Private Limited will deliver all work product completed to date and provide reasonable transition support.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Siliguri, West Bengal, India.
Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services after any changes constitutes acceptance of the modified Terms.
